Hired for our analytical, no-nonsense and intuitive approach, JPO Consulting was appointed as Chief Advisor for the restructuring of Markerstudy Group in May 2017.

JPO worked seamlessly as an advisor to the Executive Team, devising a multifaceted plan of action to leverage financing within the Group. JPO’s extensive industry knowledge aided the team in curating a winning configuration of components for a successful restructuring, implementing new synergies to elevate Markerstudy Group’s positioning in the industry.

Through meticulous examination of the business whilst working collaboratively with the team, JPO devised a bespoke restructuring model resulting in the Group to be re-organised into five distinct trading divisions. From here, JPO worked to align all synergies for future expansion for the Group. This included facilitating the re-domiciliation of one insurance carrier from Malta to Gibraltar, in preparation for the divestiture of the 3 insurance carriers. JPO led the organisation and securing of regulatory approvals both in the UK and Gibraltar for this smooth transfer.

Secondly, JPO led the consolidation of the Group’s service companies into the largest UK general insurance Managing General Agent. This carefully executed consolidation amalgamated three FCA regulated entities, 1,500 employees, 1.2m customers and £850m worth of GWP, of which £750m guaranteed capacity; repurposing the Markerstudy Group into an Insurance Intermediatory Group. This resulted in propelling Markerstudy Group’s position in the UK market.

As lead architect of the entire restructuring process, JPO was at the forefront of developing the overall vision and implementing it tactically. This involved the total design and realisation of the Target Operating Model for the Board’s approval, as well as guiding all workstreams and through the entire operationalisation of the programme to ensure a successful restructuring that is practical, cost and time-efficient. JPO also co-ordinated activities from Subject Matter Experts and third-party advisors, in addition to gaining regulatory approval from the Financial Conduct Authority, as well as Malta and Gibraltar Financial Regulators.
