Following the appointment as Chief Advisor by Markerstudy Group for their large-scale Group restructure, JPO led one of the fundamental pillars in the overall restructuring; the divestiture of three Gibraltar-based Insurance Carriers. This included securing minimum GWP of £750m p.a. underwriting capacity through a 10-year arrangement with Qatar Reinsurance Company Limited.
Taking executive ownership alongside the Board, JPO worked to devise and deliver a deal that would enable the best possible outcome for the client, providing sustainability for the future of the Group in line with its overall insurance intermediation strategy.
The divestiture required extensive planning, restructuring and negotiation to ensure market value for the businesses was obtained and underwriting capacity arrangements were met. In addition, the formalisation of the relationship between Qatar-Re and Markerstudy Group was at the forefront of the planning, to ensure a fruitful partnership for years to come.
JPO was heavily involved in the negotiations, and took ownership of all legal, regulatory, tax and operational elements of the transaction and liaising with Malta and Gibraltar Financial Regulators. This resulted in a successful divestiture through a 10-year capacity arrangement.
JPO supported the Executive Suite and General Counsel in the production of essential Transaction Documents including the Sales and Purchase Agreement and Underwriting Capacity, as well as taking charge of the separation activities for a smooth, fast acting and faultless transaction.
The incredible outcome of this carefully considered deal unleashed Markerstudy Group as one of the largest MGAs and propelled its position in the UK market, with an A-rated capital backing.
Ultimately this deal delivered a long-term solution to leverage capital which, in turn, provides security to customers, distribution partners and capacity providers of the Markerstudy Group. The divestiture also enabled amplification of the product offering and processes and ensured Markerstudy Group kept hold of product development, distribution and insurance administration activities.
